1. Parties and Acceptance of Terms

These Terms of Service (the 'Terms') govern access to and use of the website of Blue Fusion Partners, Inc., located at https://www.bluefusionpartners.com and any related websites, pages, content, downloads, digital products, consulting services, advisory services, coaching programs, workshops, training programs, assessments, templates, tools, reports, presentations, and related offerings provided by Blue Fusion Partners, Inc. ('Blue Fusion Partners,' 'Company,' 'we,' 'us,' or 'our').

By accessing the website, purchasing a digital product, enrolling in a coaching or training program, attending a workshop, downloading materials, submitting information, or engaging our services, you agree to these Terms. If you do not agree, do not use the website or purchase or engage our services. If you use the website or purchase services or products on behalf of an organization, you represent that you have authority to bind that organization to these Terms. In that case, 'you' and 'your' refer to both you individually and the organization.

2. Relationship to Proposals, Statements of Work, and Separate Agreements

Certain consulting, advisory, onsite, enterprise, or custom services may be governed by a separate proposal, statement of work, master services agreement, order form, invoice, or other written agreement (each, an 'Engagement Agreement').

If there is a conflict between these Terms and an executed Engagement Agreement, the Engagement Agreement will control only for the specific services covered by that Engagement Agreement. These Terms continue to apply to website use, digital products, general content, and any matters not addressed in the Engagement Agreement.

3. Services and Offerings

Blue Fusion Partners provides professional consulting, advisory, coaching, workshop facilitation, strategic planning, project leadership, PMO development, digital transformation consulting, AI readiness assessments, data governance advisory, governance advisory, training, digital products, templates, tools, and related services.

Services and deliverables are limited to the scope expressly described in the applicable website description, checkout page, proposal, statement of work, invoice, order form, or written agreement. We may decline, suspend, or discontinue any service or offering where appropriate.

4. Informational and Advisory Nature of Services

Our website content, digital products, consulting recommendations, coaching, workshops, assessments, templates, tools, and deliverables are provided for educational, informational, strategic, and advisory purposes only.

We do not provide legal, accounting, tax, investment, insurance, medical, cybersecurity certification, regulatory compliance, or engineering advice unless expressly stated in a signed agreement and provided by appropriately licensed professionals. You should consult qualified professionals for advice specific to your circumstances.

Any recommendations we provide should be evaluated by you and your appropriate internal and external advisors before implementation. You remain responsible for all business decisions, operational actions, technology selections, approvals, implementation activities, governance decisions, staffing decisions, and organizational changes.

5. No Guarantee of Results

Blue Fusion Partners may provide guidance, recommendations, frameworks, assessments, strategic advice, project leadership, training, and implementation support. We do not guarantee any specific result, financial outcome, cost savings, revenue growth, valuation increase, project success, schedule recovery, adoption level, regulatory compliance outcome, technology performance, AI output accuracy, cybersecurity outcome, or organizational performance improvement.

Results depend on numerous factors outside our control, including client decisions, leadership support, data quality, system constraints, staffing, funding, implementation discipline, third-party platforms, vendor performance, market conditions, legal requirements, and organizational behavior.

6. Eligibility and Account Responsibility

You must be at least the age of majority in your jurisdiction to purchase from us or enter into a binding agreement with us. If you create an account, enroll in a program, or access restricted content, you are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

You may not share paid-access credentials, course access, digital downloads, private links, or member-only materials with any unauthorized person.

7. Orders, Pricing, Taxes, and Payment

Prices, fees, payment schedules, accepted payment methods, taxes, and billing terms will be stated on the applicable checkout page, invoice, proposal, order form, statement of work, or Engagement Agreement.

Unless otherwise stated in writing, all prices are listed in U.S. dollars. You are responsible for applicable taxes, duties, levies, bank fees, foreign exchange fees, payment processor fees, and other governmental charges associated with your purchase or engagement.

For consulting services, failure to pay according to agreed terms may result in suspension or termination of services, withholding of deliverables, late fees if stated in the applicable agreement, and collection of amounts owed to the fullest extent permitted by law.

You agree not to initiate improper chargebacks. If you believe a charge is incorrect, contact us first so we can review and attempt to resolve the issue.

8. Digital Products, Downloads, Training Materials, and License

Digital products may include templates, workbooks, guides, checklists, assessments, graphics, slide decks, training materials, prompts, recordings, documents, spreadsheets, frameworks, playbooks, and related materials (collectively, 'Digital Products').

Subject to your payment and compliance with these Terms, Blue Fusion Partners grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use purchased Digital Products for your personal use or internal business use only, unless a different license is expressly stated in writing.

You may not copy, reproduce, distribute, resell, sublicense, publish, upload to shared repositories, post publicly, transfer, give away, commercially exploit, modify for resale, remove proprietary notices, use to create competing products or services, or use Digital Products to train, fine-tune, or populate artificial intelligence models or datasets without our prior written permission.

All rights not expressly granted are reserved by Blue Fusion Partners and its licensors.

9. Intellectual Property

Blue Fusion Partners retains all right, title, and interest in and to its pre-existing and independently developed methodologies, frameworks, templates, assessments, tools, processes, prompts, training materials, reports, presentations, graphics, website content, Digital Products, course materials, know-how, trade secrets, copyrights, trademarks, service marks, and other intellectual property.

Unless otherwise agreed in an executed Engagement Agreement, deliverables provided to a client are licensed for the client’s internal business use only and may not be reproduced, distributed, sold, republished, used in public training, uploaded to public or shared systems, or used to create derivative commercial products without written permission.

Blue Fusion Partners, FusionPro-PM, FusionPro-OCM, FusionPro-HR, and related names, logos, service names, product names, frameworks, and branding are proprietary to Blue Fusion Partners or its affiliates and may not be used without permission.

10. Client Materials and Feedback

You retain ownership of materials, data, documents, information, and content you provide to us ('Client Materials'). You grant Blue Fusion Partners a limited right to use Client Materials as necessary to provide services, prepare deliverables, communicate with you, and perform obligations under the applicable engagement.

You represent that you have the right to provide Client Materials to us and that doing so does not violate any law, contract, confidentiality obligation, privacy obligation, or third-party right.

If you provide feedback, suggestions, ideas, or recommendations regarding our services, website, Digital Products, frameworks, or materials, we may use that feedback without restriction or compensation, provided we do not disclose your confidential information in violation of these Terms or an applicable Engagement Agreement.

11. Confidentiality

Blue Fusion Partners will use reasonable efforts to protect confidential information disclosed by clients in connection with consulting, advisory, coaching, or workshop services. Confidential information means non-public business, technical, financial, operational, strategic, or proprietary information that a reasonable person would understand to be confidential under the circumstances.

Confidential information does not include information that is publicly available, already known without restriction, independently developed without use of confidential information, received lawfully from a third party, or required to be disclosed by law, court order, subpoena, or governmental authority.

You should not send highly sensitive information, regulated data, passwords, protected health information, payment card data, export-controlled information, trade secrets, or other high-risk data through unsecured communication channels unless we have expressly agreed on an appropriate secure method.

12. Privacy, Cookies, and Data Processing

Use of the website and services may involve collection and processing of personal information. Our Privacy Policy and Cookie Policy, when posted, describe how we collect, use, share, and protect personal information.

These Terms do not replace a Privacy Policy, Cookie Policy, Data Processing Agreement, or other privacy-specific document. If an engagement requires processing personal information on behalf of a client, the parties may need a separate data processing agreement or similar written terms.

You are responsible for ensuring that any personal information you provide to us has been collected and shared lawfully and with any required notices, consents, or authorizations.

13. Third-Party Platforms, Tools, Links, and AI-Enabled Services

The website, services, Digital Products, and deliverables may reference, integrate with, or rely on third-party websites, platforms, tools, software, payment processors, hosting providers, analytics providers, AI-enabled tools, learning platforms, communication platforms, or other resources.

Blue Fusion Partners does not control and is not responsible for third-party content, terms, privacy practices, availability, security, performance, errors, outputs, or changes. Your use of third-party services may be governed by separate third-party terms and policies.

AI-enabled tools may produce incomplete, inaccurate, biased, outdated, or unsuitable outputs. Any AI-assisted output or recommendation should be reviewed and validated before reliance or implementation.

14. Scheduling, Rescheduling, Cancellations, and No-Shows

Consultation sessions, coaching sessions, advisory meetings, and workshops may be scheduled according to the applicable order, proposal, program description, invoice, or Engagement Agreement.

You may reschedule sessions with reasonable advance notice unless the applicable program or Engagement Agreement states a different rule. Missed sessions, late arrivals, or cancellations without sufficient notice may be forfeited or billed, to the fullest extent permitted by law and as stated at purchase or in the applicable agreement.

Blue Fusion Partners may reschedule services due to illness, emergency, travel disruption, technical failure, or other unforeseen circumstances and will make reasonable efforts to provide alternative arrangements.

15. Refunds, Returns, and Digital Access

Refund eligibility depends on the type of product or service purchased and the refund policy stated on the applicable checkout page, proposal, invoice, program description, order form, or Engagement Agreement.

Because Digital Products may provide immediate access to downloadable, viewable, or usable content, all Digital Product sales are final and non-refundable unless a different refund policy is expressly stated at checkout or a refund is required by applicable law.

For coaching programs, workshops, memberships, or training programs, cancellation and refund rights will be stated at checkout or in the applicable program terms. Access may be revoked if payment fails, a refund is issued, a chargeback is initiated, or these Terms are violated.

Nothing in these Terms limits any non-waivable consumer rights that apply to you under the laws of your jurisdiction.

16. Recurring Billing, Memberships, and Payment Plans

If we offer subscriptions, memberships, recurring coaching programs, retainers, or payment plans, the applicable checkout page or written agreement will disclose the recurring amount, billing frequency, renewal terms, cancellation method, and minimum commitment, if any.

By enrolling in a recurring program or payment plan, you authorize us and our payment processor to charge your payment method according to the disclosed terms until cancelled or completed. Cancellation stops future charges only unless the applicable terms state otherwise or applicable law requires otherwise.

You are responsible for keeping payment information current. Failed payments may result in suspension or termination of access or services.

17. International Purchasers and Mandatory Consumer Rights

Blue Fusion Partners is based in Illinois, United States. We may sell Digital Products, online programs, coaching, or remote services to purchasers outside the United States, subject to availability, legal restrictions, sanctions laws, payment processor limitations, tax requirements, and our discretion.

If you are a consumer located outside the United States, you may have mandatory rights under your local laws that cannot be excluded by contract. These Terms are not intended to limit those non-waivable rights.

For European Union, European Economic Area, and United Kingdom consumers, digital content, online services, and distance purchases may be subject to cancellation, withdrawal, conformity, and disclosure rules. Where permitted by law, if you request or receive immediate access to Digital Products or online content, you may be asked to acknowledge that access begins immediately and that any statutory withdrawal right may be lost or limited once performance begins or content is supplied.

For Asia-Pacific and other jurisdictions, consumer guarantees, unfair contract terms, e-commerce rules, and cancellation rights may vary. If any provision of these Terms conflicts with a mandatory consumer protection law that applies to you, that mandatory law controls only to the extent required.

18. Onsite, Travel, and International Consulting

Any onsite services, travel, international consulting, or work outside the United States must be expressly agreed in a written Engagement Agreement. Unless otherwise stated, clients are responsible for approved travel expenses, lodging, meals, transportation, local access requirements, site safety requirements, work authorization issues, local taxes, translation needs, and client-provided facilities or equipment.

Blue Fusion Partners may decline or discontinue travel or onsite work where safety, legal, health, sanctions, visa, payment, or logistical concerns exist.

19. Prohibited Uses

You may not use the website, services, Digital Products, deliverables, or materials to: violate law; infringe intellectual property; distribute malware; scrape or harvest content; bypass access controls; share paid-access materials without authorization; misrepresent your identity or affiliation; upload unlawful or harmful content; interfere with the website or services; use our materials to build competing products or services; or engage in fraudulent, deceptive, abusive, or harmful activity.

We may suspend or terminate access for suspected violations.

20. Export Controls, Sanctions, and Restricted Parties

You represent that you are not located in, organized under the laws of, or ordinarily resident in a country or territory subject to comprehensive U.S. sanctions, and that you are not identified on any restricted-party list administered by the U.S. government or other applicable authority.

You may not use, export, re-export, transfer, or provide access to our services, Digital Products, software, materials, or deliverables in violation of applicable export control, sanctions, or anti-corruption laws.

21. Testimonials, Case Studies, and Publicity

We will not use your name, logo, confidential project details, or identifiable case study information for marketing without your permission, unless otherwise allowed in a written agreement.

If you voluntarily provide a testimonial, review, endorsement, or public comment, you grant us permission to use it for marketing, promotional, and business purposes, subject to applicable law.

22. Disclaimers

The website, content, services, Digital Products, coaching, workshops, templates, tools, and deliverables are provided 'as is' and 'as available' to the fullest extent permitted by law. We disclaim all warranties not expressly stated in writing, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and uninterrupted access.

We do not warrant that the website, Digital Products, third-party platforms, or services will be error-free, uninterrupted, secure, current, complete, or suitable for your specific objectives.

Some jurisdictions do not allow certain warranty disclaimers, so some disclaimers may not apply to you.

23. Limitation of Liability

To the fullest extent permitted by law, Blue Fusion Partners and its owners, officers, directors, employees, contractors, agents, affiliates, licensors, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, punitive, lost-profit, lost-revenue, lost-savings, business interruption, loss-of-data, reputational, or similar damages arising out of or related to the website, services, Digital Products, recommendations, deliverables, third-party platforms, or these Terms, even if advised of the possibility of such damages.

To the fullest extent permitted by law, the total liability of Blue Fusion Partners for any claim arising out of or related to the website, services, Digital Products, deliverables, or these Terms will not exceed the amount paid by you to Blue Fusion Partners for the specific product or service giving rise to the claim during the three months preceding the event giving rise to liability, or one hundred U.S. dollars ($100), whichever is greater.

The limitations in this section do not apply to liability that cannot be limited under applicable law.

24. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Blue Fusion Partners and its owners, officers, directors, employees, contractors, agents, affiliates, licensors, and service providers from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to your violation of these Terms, misuse of the website or materials, infringement of third-party rights, unlawful conduct, Client Materials, or implementation decisions made by you or your organization.

25. Suspension and Termination

We may suspend or terminate access to the website, Digital Products, programs, services, or deliverables if you fail to pay amounts owed, violate these Terms, misuse materials, create legal or security risk, engage in abusive conduct, or if we discontinue an offering.

Termination does not eliminate payment obligations incurred before termination and does not limit our rights or remedies.

26. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Illinois, United States, without regard to conflict-of-law principles, except where mandatory consumer protection laws require otherwise.

Before filing a formal claim, the parties agree to make a good-faith effort to resolve disputes by written notice and informal discussion. Notices should describe the dispute, requested resolution, and supporting information.

Subject to any mandatory law that applies, any lawsuit or court proceeding arising out of or related to these Terms, the website, services, Digital Products, or deliverables will be brought exclusively in the state or federal courts located in Cook County, Illinois, and each party consents to personal jurisdiction and venue in those courts.

To the fullest extent permitted by law, disputes must be brought only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, private attorney general, or representative proceeding.

27. Injunctive Relief

You acknowledge that unauthorized use, disclosure, copying, distribution, resale, publication, or exploitation of our intellectual property, confidential information, Digital Products, or proprietary materials may cause irreparable harm. We may seek injunctive or equitable relief without posting bond, in addition to any other remedies available.

28. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on the website with an updated effective date. Continued use of the website, services, Digital Products, or programs after updated Terms are posted constitutes acceptance of the updated Terms to the fullest extent permitted by law.

Material changes will not retroactively reduce rights or increase obligations for already-executed Engagement Agreements unless expressly agreed in writing.

29. Severability, Waiver, Assignment, and Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable if permitted by law.

Failure to enforce any provision is not a waiver. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms as part of a merger, acquisition, restructuring, sale of assets, or by operation of law.

These Terms, together with any applicable Privacy Policy, Cookie Policy, Refund Policy, checkout terms, invoices, order forms, program terms, and Engagement Agreements, constitute the agreement between you and Blue Fusion Partners regarding the applicable website use, products, and services.
